CHKN WHOLESALE RESALE AND REPACKAGING POLICY

1. Retail Pricing and Resale Restrictions

1.1 Pricing Integrity

Buyer may not advertise, offer, list, or sell CHKN products at a price above CHKN's then-current stated retail price for the same product, unless CHKN has provided prior written approval.

1.2 No Unauthorized Price Inflation

Buyer agrees not to mark up CHKN products beyond CHKN's published retail pricing in a manner that misrepresents product value, damages brand positioning, or causes market confusion.

1.3 CHKN Right to Enforce

CHKN reserves the right to review resale pricing at any time and may suspend, restrict, or terminate wholesale purchasing privileges for any Buyer found to be in violation of this section.

2. Bulk Orders and Repackaging

2.1 Responsibility for Repackaging

If Buyer purchases CHKN products in bulk for repackaging, relabeling, portioning, redistribution, or resale in any format other than CHKN's original sealed packaging, Buyer assumes full responsibility for all handling, storage, repackaging, labeling, compliance, safety, freshness, shelf life, and resale of such products.

2.2 No Liability for Repackaged Products

CHKN is not responsible or liable for contamination, spoilage, damage, mislabeling, improper storage, packaging defects, handling errors, loss of freshness, or any other issue arising after CHKN products are opened, repackaged, relabeled, portioned, or otherwise altered by Buyer or any third party acting on Buyer's behalf.

2.3 Packaging and Food Safety Compliance

Buyer is solely responsible for ensuring that any repackaging activity complies with all applicable laws, regulations, labeling requirements, food handling standards, storage requirements, and consumer safety obligations in the jurisdictions where such products are sold or distributed.

2.4 Condition of Product After Alteration

Once CHKN products are removed from their original packaging, CHKN makes no representations or warranties regarding the condition, safety, merchantability, marketability, or performance of the altered product.

3. Returns and Refunds for Repackaged Product

3.1 No Returns on Repackaged Goods

Any CHKN product that has been repackaged, relabeled, portioned, altered, or otherwise removed from its original CHKN packaging is non-returnable and non-refundable.

3.2 Bulk Product Finality

All sales of bulk product intended for repackaging are final unless otherwise expressly agreed in writing by CHKN before shipment.

4. CHKN Programs and Customer Eligibility

4.1 Ineligibility of Repackaged Product Customers

Customers who purchase CHKN products that have been repackaged, relabeled, portioned, or otherwise altered by a reseller, distributor, retailer, or other third party are not eligible for CHKN-sponsored customer programs, brand programs, loyalty programs, guarantees, promotional offers, or other CHKN direct consumer benefits.

4.2 Eligibility of Approved Reseller Customers

Customers who purchase authentic CHKN products in original, unaltered CHKN packaging from approved CHKN resellers may qualify for applicable CHKN reseller customer programs, subject to CHKN's then-current program terms and verification requirements.

4.3 Brand Program Determination

CHKN reserves the sole right to determine whether a product purchase qualifies for any CHKN program, and may deny eligibility where product origin, packaging integrity, reseller status, or chain of custody cannot be verified.

5. Brand Protection

5.1 No Misrepresentation

Buyer may not represent repackaged products as being packaged, sealed, certified, inspected, or guaranteed by CHKN.

5.2 No Implied Endorsement

Buyer may not imply that CHKN has approved, endorsed, or assumed responsibility for Buyer's repackaging methods, packaging materials, labeling, storage conditions, or resale practices unless CHKN has expressly agreed in writing.

5.3 Preservation of Brand Standards

CHKN reserves the right to prohibit any resale or redistribution practice that, in CHKN's judgment, may harm the CHKN brand, create customer confusion, introduce safety concerns, or diminish product integrity.

6. Indemnification

Buyer agrees to defend, indemnify, and hold harmless CHKN, its affiliates, officers, owners, employees, agents, and representatives from and against any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorneys' fees, arising out of or related to Buyer's repackaging, relabeling, storage, resale practices, product alterations, customer complaints, regulatory violations, or contamination occurring after delivery of product to Buyer.

7. Right to Refuse or Terminate Wholesale Relationship

CHKN reserves the right to refuse, suspend, or terminate wholesale sales, reseller access, or business relationships at any time where Buyer violates this Policy, creates brand risk, engages in unauthorized pricing practices, mishandles product, or otherwise acts inconsistently with CHKN standards.

8. Governing Terms

This Policy supplements any applicable wholesale agreement, invoice terms, order form, or master service agreement between CHKN and Buyer. In the event of a conflict, CHKN may interpret and enforce these provisions in a manner that protects product integrity, customer safety, and brand standards.
